Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lumo website and business-management application (the "Service"), operated by Lumo ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Lumo provides cloud-based tools to help small and medium businesses manage operations such as sales, inventory, purchasing, people, billing, and documents. We may add, change, or remove features over time.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at legal@lumoerp.com of any unauthorized use.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.
3. Acceptable use
You agree not to: use the Service in violation of any law or regulation; upload unlawful, infringing, or harmful content; attempt to gain unauthorized access to the Service or other users' data; interfere with or disrupt the integrity or performance of the Service; reverse engineer or copy the Service except as permitted by law; or use the Service to send unsolicited communications.
4. Subscriptions, trials, and billing
Access to paid features requires a subscription. Fees, billing periods, and any free-trial or beta terms are described at the point of purchase. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled, and fees are non-refundable except where required by law. During any free trial or beta period, the Service may be provided at no charge and may be modified or discontinued. We may change prices on prospective notice; changes do not affect the current paid period. Payments are processed by our payment provider; you authorize us and the provider to charge your selected payment method.
5. Your data
As between you and us, you retain all rights to the business data you submit to the Service ("Your Data"). You grant us a worldwide, non-exclusive licence to host, process, transmit, and display Your Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for Your Data and for having the necessary rights and consents to provide it. You are responsible for maintaining your own backups of Your Data.
6. Third-party services
The Service can connect to third-party services that you choose to enable. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Disabling or losing access to a third-party service may affect related functionality in Lumo.
7. Intellectual property
The Service, including its software, design, and content (excluding Your Data), is owned by Lumo and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right in our trademarks or branding. We welcome feedback and may use it without restriction or obligation to you.
8. Disclaimers
Except as expressly stated and to the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Lumo is a management tool and does not provide legal, tax, accounting, or financial advice; you are responsible for your own compliance.
9. Limitation of liability
To the maximum extent permitted by law, Lumo and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. To the extent liability cannot be excluded, our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including the Brazilian Consumer Protection Code where it applies.
10. Indemnification
You agree to indemnify and hold harmless Lumo from any claims, damages, and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
11. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; we will make Your Data available for export for a reasonable period as described in our Privacy Policy, after which we may delete it.
12. Governing law and disputes
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. The competent courts in Brazil will have jurisdiction over any dispute, except where mandatory consumer-protection law gives you the right to bring proceedings in your place of domicile.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
